Alpine's primary focus is to acquire or develop de novo and manage ambulatory surgery centers ("ASCs"). Alpine is a California limited liability company owned and managed by Lawrence A. Aufmuth, Steven F. Kanter and Jay Pruzansky. The curricula vitae of the Principals of Alpine explain the breadth and depth of expertise we bring to our ASCs.

Our preferred business structure is to form a California limited partnership to own the ASC. Alpine serves as the General Partner and invites a group of physician limited partner investors who can perform cases at the ASC to invest. Alpine also invests as a limited partner in an amount negotiated with the other limited partner investors. Where appropriate, Alpine welcomes the participation of key individuals responsible for development activities as well as the investment as a limited partner of a health care entity that can contribute to the Partnership beyond a capital contribution. Alpine also has a long term Management Agreement with each facility. The Principals' primary business activity is to oversee the day-to-day management of the Alpine affiliated ASCs. Each of Alpine's affiliated ASCs is licensed by the California Department of Health Services, Medicare certified and AAAHC accredited.

Silicon Valley Surgery Center, L.P. ("SVSCLP") operates the Silicon Valley Surgery Center, a 5 Operating Rooms ("ORs"), 1 Treatment Room ASC located at 14601 S. Bascom Avenue, Suite 100, Los Gatos, CA 95032. It is owned by Alpine and approximately 35 physician partners and is a multi-specialty ASC. Bascom Surgery Center, L.P. ("BSCLP") operates the Bascom Surgery Center ("BSC"), a 2 ORs and 1 Treatment Room ASC located at 3803 S. Bascom Avenue, Suite 106, Campbell, CA 95008. BSC, which SVSCLP partially owns along with approximately 25 physician partners and Alpine, is a specialized ambulatory surgery center focusing on Orthopedic, Pain Medicine, Podiatry and General Surgery procedures. BSC has no third party payor contracts. It serves primarily patients covered by Workers' Compensation insurance, Indemnity insurance or those patients willing to go "out of plan" for their outpatient surgical care. Waverley Surgery Center, L.P. ("WSCLP") operates the Waverley Surgery Center, a 4 Ors and 2 Treatment Room ASC located at 400 Forest Avenue, Palo Alto. Stanford Hospital and Clinics is a significant limited partner along with approximately 20 physician partners and Alpine.

Alpine has made sizable equity commitments as a limited partner in each of the ASCs, facilitates debt financing and holds 1% General Partner interest in each business. Alpine receives management fees as Manager of each ASC as well as a return on its investment. Alpine is exploring other surgery center opportunities in the San Francisco Bay Area.
